The prime responsibility of the Chair of the Board of Directors (the "Board") of ShawCor Ltd. (the "Company") is to provide leadership to the Board to enhance overall Board effectiveness in meeting its mandate of assuming the responsibility for the stewardship of the business and affairs of the Company on behalf of shareholders and other stakeholders.

The Vice Chair of the Board of Directors

The main function of the Vice Chair of the Board of Directors is to work on a collaborative basis with the Chair; to ensure the effective functioning of the Board.  The vice chair will also assume responsibilities of the Chair in his or her absence.

The Lead Director

The focus of the Lead Director will be to facilitate the functioning of the Board independently of management of the Company and provide independent leadership to the Board.
