Each Class A Subordinate Voting Share entitles the holder thereof to one vote per share. Each Class B Multiple Voting Share
entitles the holder thereof to ten votes per share. Holders of Class A Subordinate Voting Shares are entitled to receive a non-cumulative
dividend per share equal to 110% of any dividend per share declared on the Class B Multiple Voting Shares. Class B multiple voting shares
are convertible into Class A subordinate voting shares on a one for one basis.
